Founding Members have entrusted the Board of Trustees as the highest duly constituted authority of the Italian Scientists and Scholars in North America Foundation, which is a 501 (c)3 nonprofit organization incorporated under the laws of the State of California.

The Board of Trustees is composed of 10 (ten) voting members. 3 (three) of these will be at-large members chosen initially among the Founding Members of ISSNAF. When a new vacancy among the members at-large occurs, the Board itself will co-opt a new at-large member. The remaining 7 (seven) members of the Board of Trustees will be the Chairperson of the Scientific Advisory Boards of ISSNAF. The Executive Director is an ex-officio member of the Board with no voting rights.

Membership is open to scientists and scholars of Italian origin holding at least one year of association with a North American Academic or scientific Institution and a college degree or above.

Each member shall be eligible and will vote for the Chairpersons of the Scientific Advisory Board for their topical area. Members may be appointed as at-large members of the Board of Trustees.

The Board shall call one Annual General Assembly of the Membership to discuss the Governance and Plans of the Foundation.

ISSNAF shall produce an annual report no later than 6 (six) months from the closing of the accounts.

In its effort to conduct the Foundation's activities following the highest ethical standards and committing to ensure transparency and accountability, the Board of Trustees has approved the ISSNAF Policy Manual which includes the following:

1. Code of Ethics Policy

2. Conflict of Interest Policy

3. Transparency and Accountability Policy

4. Board Member Giving and Fundraising Policies

5. Authorization and Limits of Authority for Expenditures of Money

6. Gift Acceptance, Sponsorship and Endorsement Policy

7. Whistleblower Policy

8. Confidentiality Policy

9. Privacy Policy

10. ISSNAF Web Site Terms & Conditions

11. ISSNAF Local Chapters Code

12. The Donor Bill of Rights (as adopted by the Giving Institute)
